ORDERS AND PAYMENT

When you place an order through our Site, you agree to provide accurate, current, and complete information. All orders are subject to our acceptance, and we reserve the right to refuse or cancel any order at our sole discretion.

Payment terms will be specified in your service agreement or order confirmation. All prices are subject to change without notice, but changes will not affect orders already confirmed.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

SERVICE DELIVERY

We will make reasonable efforts to deliver services within the timeframes specified in your service agreement. However, delivery times are estimates and not guaranteed. We are not liable for any delays in delivery.

For custom development projects, deliverables and timelines will be specified in a separate service agreement or statement of work.

CLIENT DATA AND CONFIDENTIALITY

When you work with us as a client, you may provide us with access to your systems, accounts, and data ("Client Data"). We agree to:

Use Client Data only for the purpose of providing our services
Not disclose Client Data to third parties except as necessary to provide services or as required by law

WARRANTIES AND DISCLAIMERS

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, secure, or error-free, or that defects will be corrected.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, PROFICIENCY CONSULTING shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

Our total liability for any claims arising from or related to our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless PROFICIENCY CONSULTING and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any rights of another.

TERMINATION

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use our services will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Our services may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

These Terms shall be governed by and construed in accordance with the laws of Serbia, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Nis, Serbia.

SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

CHANGES TO TERMS

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. Your continued use of our services after any changes constitutes acceptance of the new Terms.

ENTIRE AGREEMENT

These Terms, together with any service agreements or statements of work, constitute the entire agreement between you and PROFICIENCY CONSULTING regarding the use of our services and supersede all prior agreements and understandings.
